1. Definitions

  • "Buyer": Registered business purchasing goods.

  • "Seller": Qingdao Kingter (operating qingdaokingter.com).

  • "Goods": Products listed on the website.

  • "MOQ": Minimum Order Quantity specified per product.

2. Account & Eligibility

2.1 Wholesale Only

  • Buyers must provide:

    • Valid business license

    • Tax registration certificate

    • Resale permit (if applicable)

  • Accounts may be suspended for:

    • Fraudulent information

    • Chargeback abuse

2.2 Account Security

  • Buyers are responsible for:

    • Password confidentiality

    • Unauthorized transactions from their account

3. Ordering & Pricing

3.1 Contract Formation

  • Orders are binding upon Seller’s Order Confirmation Email.

  • Seller may reject orders for:

    • Pricing errors (e.g., incorrect website listings)

    • Stock unavailability

3.2 Pricing Terms

  • Prices are:

    • In USD unless negotiated otherwise

    • Exclusive of:

      • VAT/GST (unless stated)

      • Import duties

      • Bank transfer fees

3.3 Payment Default

  • Late payments incur 1.5% monthly interest.

  • Orders unpaid after 15 days are automatically canceled.

4. Shipping & Risk

4.1 Delivery Terms

  • FOB Qingdao: Buyer assumes risk once Goods leave our warehouse.

  • CIF/DDP: Risk transfers at Buyer’s destination port.

4.2 Delays

  • Seller is not liable for delays caused by:

    • Customs inspections

    • Force majeure (e.g., natural disasters, strikes)

4.3 Shortages/Damage

  • Buyer must:

    • Note issues on courier’s delivery receipt

    • Notify Seller within 24 hours with photo evidence

5. Returns & Warranties

5.1 Limited Warranty

  • Goods are guaranteed to match product descriptions.

  • Exclusions:

    • Normal wear and tear

    • Buyer’s improper storage/use

5.2 Return Process

  • Step 1: Request Return Authorization (RA) within 7 days of delivery.

  • Step 2: Return Goods with original packaging + RA number.

  • Step 3: Refund issued after inspection (15 business days).

5.3 Non-Refundable Items

  • Custom-manufactured Goods

  • Software/electronic licenses

6. Intellectual Property

  • All:

    • Product designs

    • Logos

    • Website content
      are Seller’s exclusive property. Buyers may not:

    • Reverse-engineer products

    • Use Seller’s trademarks without written consent

7. Liability Limitations

  • Seller’s maximum liability = Order value.

  • Excluded liabilities:

    • Consequential damages (e.g., lost profits)

    • Third-party claims against Buyer

8. Dispute Resolution

8.1 Negotiation

  • Parties must attempt 30-day mediation via email.

8.2 Arbitration

  • Unresolved disputes go to CIETAC (China International Economic and Trade Arbitration Commission).

  • Venue: Qingdao, China.

8.3 Governing Law

  • These Terms are governed by Chinese law.

9. General

9.1 Force Majeure

  • Seller is excused for delays due to:

    • Wars

    • Pandemics

    • Government embargoes

9.2 Amendments

  • Changes take effect after 30 days of website posting.

9.3 Severability

  • If one clause is invalid, others remain enforceable.
